Financial records

As a publicly traded U.S. company, CA Technologies must comply with various securities laws, regulations and reporting obligations. U.S. federal laws and the Company's associated policies and procedures require that CA Technologies disclose accurate and complete material information regarding its business, financial condition and results of operations. Inaccurate, incomplete or untimely reporting will not be tolerated because it can lead to, among other things, legal liability and reputational damage to both the individual and the Company.

Employees working in the Company's Finance Department and those employees involved in the preparation of CA Technologies filings with the Securities and Exchange Commission and other government agencies must ensure that all financial disclosures are full, fair, accurate, timely and understandable. Employees involved with financial reporting must understand and strictly comply with U.S. Generally Accepted Accounting Principles (GAAP) and all other applicable standards, laws and regulations for the accounting and financial reporting of transactions, estimates and forecasts.

Accuracy of other records

In addition to ensuring the integrity of financial records, we expect all employees to make sure that all other Company information is recorded and reported accurately and promptly. This includes, but is not limited to, information concerning the Company's employees, research and development activities, strategic plans, travel and expense claims, and general operations.

Record retention

CA Technologies has procedures to ensure that records are maintained and, when appropriate, disposed of in a manner consistent with applicable legal requirements and sound business practices.

We expect you to be familiar with the record retention requirements specific to your position at the Company. Among other things, any regular document disposal must cease immediately if you are aware of or have reason to believe that the documents or materials are, or are likely to become, relevant to a business dispute, litigation matter or government inquiry (including all records that are subject to a legal hold or legal collection notice). If you have any questions about the Company’s records information management policies, contact the Records Information Management Team in the Worldwide Law Department.


Use of company resources

Efficient and appropriate use of CA Technologies resources is critical to our success. Among other things, you must:

  • Safeguard Company funds and other property against loss, theft, or misuse, including unauthorized use
  • Ensure that business travel expenses are in compliance with Company expense policies and procedures
  • Not use the Company’s name, facilities, or relationships for personal benefit or for the benefit of a third party without prior approval

Use of information resources

CA Technologies permits minimal and infrequent personal use of Company computers and phones, but such use is subject to the requirements of the CA Technologies Electronic Communications Policy. The Company may review voice and data transmissions using its resources at any time, without notice, subject to the requirements of applicable law, as described more fully in the Electronic Communications Policy.

What would you do?

Your manager asks you to submit an expense for reimbursement that you believe is outside of CA's Expense Policy, but you don’t want to question her.

Should you just expense the item as instructed?


Adherence to CA's Expense Policy is required of all employees. If you are unsure whether an item can be expensed, raise your hand and ask a member of CA's Expense Department first before submitting the report.

Social networks

Social networks allow you to share your thoughts, ideas, opinions and information in an informal worldwide conversation, but their use can raise various issues under our Code and reflect upon CA Technologies as well as its employees, vendors and customers. You must ensure that your use of social media and other electronic communications is consistent with the terms of the Company's Electronic Communications Policy, Social Media Guidelines and this Code. Among other things, you must:

  • Communicate in a respectful and professional manner
  • Never disclose confidential or proprietary information
  • Never hide your identity or fail to disclose your employment with CA Technologies when commenting on issues related to your work

All employees should take the time to pause and think before posting something on the World Wide Web. Employees should also take the time to review the Company's Electronic Communications Policy and Social Media Guidelines.

When in doubt, please consult with a member of the Social Media Team in the Marketing Department or a member of the Worldwide Law Department.

What would you do?

You are under a deadline to finalize a report of tests on new software. You are pretty sure you know how the tests will turn out, but won’t have the results in time for the deadline.

Is that okay to base your report on the expected test results?   No.

Falsification of data about Company products, even if well-intended, can create serious harm to our customers and result in legal liability and reputational damage to CA Technologies.
